Job summary
Amazon's Risk and Compliance Services for MENA is seeking an experienced and driven governance/ company secretariat professional to support our regulated financial services entities in Middle East and North Africa. The successful candidate will be based in Dubai and join a small but high-performing team of governance subject matter experts who work closely with the Boards of Directors and Senior Management of various licensed entities to ensure they meet regulatory expectations.
Core Duties
. Assist the Head of Governance in delivering a professional and best in class governance service, advising on a broad range of matters to support the Boards and Senior Leaders in meeting their duties, compliance obligations and objectives.
. Advise on, and adhere to, the RCS Governance Framework, including drafting and implementation of any relevant policies and procedures.
. Responsibility for organizing and coordinating inputs to the Board and Management Meetings, as well as any AGMs in conjunction with the Corporate Legal teams.
. Managing governance processes, including committee terms of reference, conflicts of interest, Board training, and responsibility matrices.
. Support the appointment and on-boarding of new Board members and Heads of Internal Control Function appointments.
. Responsibility for providing appropriate governance expertise in ad hoc projects (largely with Legal/ Compliance / Risk Management functions).
. Support the oversight of Governance-related KPIs, including presenting these metrics to Senior
Leadership during Board and Management meetings.
About the team
RCS Global Governance Function is responsible for supporting licensed legal entities across all regions, with focus of ensuring, inter-alia, the following:
1) Entities are operating according to high corporate governance standards, and in line with the governance regulatory requirements imposed by their respective jurisdictions
2) The Boards of Directors as governing bodies of these Entities, have well-defined and documented roles and responsibilities, and are providing effective oversight and direction for these entities
3) Adequate governance and secretarial support are provided to Boards and Committees and is standardized across all Entities.
BASIC QUALIFICATIONS
. 5+ years of Governance / Company Secretariat experience in financial services
. Excellent English communication skills and writing skills
. Experience in partnering with and advising senior stakeholders, particularly in the context of a rapidly changing and growth-oriented environment
. Strong ability to multi-task and problem solve
. High energy and creativity, an entrepreneurial spirit and the desire to work in a fast growth and changing environment
. Ability to work within a matrix environment and cross functionally
PREFERRED QUALIFICATIONS
. Professionally qualified Chartered Secretary and Governance Professional (ACG or above) or equivalent qualification.
